Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Autor Technologies Inc., which operates the Cenaiva platform (“Cenaiva,” “we,” “us,” “our”). They govern your use of our websites and apps for restaurant reservations, pre-ordering, on-demand delivery and pickup, and the “Hey Cenaiva” voice concierge (the “Services”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Who can use Cenaiva
You must be old enough to form a binding contract in your province (the age of majority) and able to agree to these Terms. You are responsible for the accuracy of the information you provide and for activity under your account.
2. Your account
Keep your login credentials confidential and notify us of any unauthorized use. You are responsible for maintaining the security of your account. We may suspend or terminate an account that violates these Terms or that we reasonably believe poses a risk to the Services or to others.
3. Cenaiva is a platform
Restaurants and delivery drivers are independent third parties. Cenaiva provides the technology that connects you with them; we do not prepare food and we do not operate the restaurants. The restaurant is responsible for its food, its menu and pricing, allergen and preparation information, and its own policies. Your reservation or order is a transaction with the restaurant, facilitated by Cenaiva.
4. Reservations and deposits
- Some restaurants require a deposit or prepaid pre-order to hold a booking. Any amount charged at booking is shown before you confirm.
- Unless the restaurant states otherwise, you may cancel free of charge up to 24 hours before your booking; later cancellations or no-shows may forfeit a deposit under the restaurant’s policy.
- Taxes and gratuities not collected at booking are settled with the restaurant.
5. Orders, pricing, and payment
- Prices are shown in Canadian dollars and may include applicable taxes, a delivery fee, and a small-order fee where noted. The total is shown before you pay.
- Payments are processed by Stripe. By placing an order you authorize the charge for that order, including any deposit or pre-order amount.
- Menu availability, prices, and estimated times are set by the restaurant and may change. If an item is unavailable, the restaurant or Cenaiva may adjust or cancel the affected part of your order.
- Refunds, where applicable, are handled in accordance with the restaurant’s policy and applicable law.
6. Delivery and pickup
For delivery, please provide an accurate address and any access instructions, and be reachable so the driver can complete the drop-off. Delivery times are estimates. For pickup, collect your order within a reasonable time. Risk of loss for food passes on delivery or pickup.
7. The voice concierge
“Hey Cenaiva” can take actions on your behalf, such as booking, modifying, or cancelling a reservation. You are responsible for requests you make through the concierge as if you made them yourself. The concierge is powered by our provider Loquent, as described in the Privacy Policy.
8. Reviews and your content
You may submit reviews, ratings, photos, and video (“Your Content”). You keep ownership of Your Content. By submitting it, you grant Cenaiva a worldwide, non-exclusive, royalty-free, sublicensable licence to host, use, reproduce, adapt, and display it in connection with the Services and Cenaiva’s marketing — including publishing Snap content you approve to Cenaiva’s own social media accounts.
- You confirm you have the rights to submit Your Content and that it does not infringe others’ rights or law.
- Reviews must reflect a genuine experience. We may moderate, decline to publish, hide, or remove content that is false, unlawful, abusive, or that violates these Terms.
- Do not submit content depicting identifiable people without their consent.
9. Acceptable use
You agree not to:
- use the Services for any unlawful, fraudulent, or abusive purpose;
- interfere with or disrupt the Services, or attempt to access them by unauthorized means;
- place orders or reservations you do not intend to honour, or misuse deposits or refunds;
- harass restaurant staff or delivery drivers, or infringe anyone’s rights.
10. Third-party services
The Services rely on third parties (for example, payments, maps, and messaging). Your use of those features may be subject to the third party’s terms. We are not responsible for third-party services outside our control.
11. Disclaimers
The Services are provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties and do not guarantee that the Services will be uninterrupted or error-free. We are not responsible for the quality, safety, or legality of food or services provided by restaurants or drivers. Nothing in these Terms limits rights you have under applicable consumer-protection law that cannot be waived.
12. Limitation of liability
To the extent permitted by law, Cenaiva and Autor Technologies Inc. will not be liable for indirect, incidental, special, or consequential damages, or for loss of profits or data, arising from your use of the Services. Where liability cannot be excluded, it is limited to the greater of the amount you paid for the order giving rise to the claim or CAD $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
13. Indemnity
You agree to indemnify and hold harmless Cenaiva and Autor Technologies Inc. from claims and costs arising out of your misuse of the Services, your violation of these Terms, or Your Content, except to the extent caused by us.
14. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Services or others. Sections that by their nature should survive termination will do so.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and change the “Last updated” date, and, for material changes, provide additional notice. Your continued use after changes take effect means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. This does not deprive you of the protection of mandatory consumer-protection laws of your province of residence.
